Corporate matters have always been a core business in past more than ten years of development of High Mark. High Mark works for lots of clients in different types, different ownership and different development stages by solving complex problems regarding their company legal affairs, guarding against and dissolving the company's significant legal risk in operating process.  Set up and sound governance structure
Assist in company’s establishment scheme; participate in negotiation; draft and review relevant formation documents; assist in the process of obtaining government approvals, permit and registrations; design of corporate governance structures; and improve the internal system regarding authority and responsibility of the shareholders meeting, board of directors board of supervisors and executive officers. 

 Stock ownership incentive and transaction 
Design of and assist in executing employee share and option plan tailored for our clients. Conduct legal due diligence for equity transaction and draft any related legal documents.

Identify non-compliance issues and regulatory risks, streamline reporting system, and develop effective compliance measures by formulating a legal risk management system, which includes different areas such as: contract risk management system, labor risk controlling system, intellectual property protection system, dispute resolution system, administration management system and crime risk controlling system. 

 Franchising 
Design and improve the structure of franchising system; provide legal consultation of franchising; assist filing with the governmental department; draft and review related legal documents such as franchising contract, commercial promotion documents and operation training menu;assist in dispute resolution relevant to franchising. 

 Restructuring & Liquidation
Analyze the legality and feasibility of business including merger & acquisition, separation, capital adjustment, strategic investment and draft the related legal documents;provide consultation and agency service for company’s liquidation and compulsory liquidation.
